Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Synoptro website, digital products, waitlists, interest lists, future programs, and related services available through synoptro.com and any related pages or subdomains operated by Synoptro LLC.
By purchasing a product, engaging Synoptro for services, joining an interest list, or otherwise using this website, you agree to these Terms.
Who we are
Synoptro is operated by Synoptro LLC, a Pennsylvania limited liability company. In these Terms, "Synoptro," "we," "us," and "our" refer to Synoptro LLC.
What we offer
Synoptro may offer any of the following:
- digital products, including templates, kits, documents, guides, and other downloadable materials
- future cohort-based, advisory, community, or forum offerings that may begin as interest lists or waitlists before enrollment opens
- consulting and advisory services
Additional terms may apply to specific offers, programs, or services. If there is a conflict between these Terms and offer-specific terms, the offer-specific terms control for that offering.
Orders and payments
Digital product purchases on synoptro.com are processed by Polar Software Inc. ("Polar.sh"), which acts as the merchant of record for these transactions. Polar handles payment processing, sales tax collection and remittance, fraud screening, billing receipts, refunds, and chargebacks for digital product orders, in addition to issuing the download grants for purchased materials. Polar's Terms of Service and Privacy Policy apply to the payment portion of the transaction in addition to these Terms.
Synoptro is responsible for the digital product itself, its content, and any product or technical support related to its use.
Other offerings, including consulting, advisory, facilitation, or other custom services, may be invoiced separately or governed by a separate proposal, statement of work, services agreement, or order form. The applicable payment workflow for those offerings will be identified at the time of payment.
You agree to provide current, complete, and accurate billing and account information for any purchase or paid engagement.
Support
Support for digital product purchases is split between two providers:
- Polar.sh handles all billing-related questions, including receipts, payment failures, refund requests, chargebacks, and tax-related questions. You can manage your purchases at polar.sh/purchases.
- Synoptro handles all product-related questions, including how to use the kits, how to adapt them, technical issues with the files themselves, and general feedback. You can reach us at [email protected] or by replying to any email from Synoptro.
Digital products and license
Unless otherwise stated, when you purchase a Synoptro digital product, you are purchasing a non-exclusive, non-transferable license to use the purchased materials for your own internal business or professional use.
You may:
- use the purchased materials for your own business or work
- modify the materials for your own internal use
- use the materials in client-facing work only if the specific product explicitly allows that use
You may not:
- redistribute, resell, sublicense, share, or publicly post the original product files
- claim ownership of Synoptro's original materials, frameworks, templates, or intellectual property
- use Synoptro materials to create a competing commercial product substantially based on our original work
- transfer access to paid products or member-only resources to another person or organization unless the license explicitly permits it
All rights not expressly granted are reserved by Synoptro.
Forum and future recurring programs
The Synoptro Forum is currently presented as an interest list for a future cohort-based offering and is not currently an active self-serve subscription product unless and until a live offer page or checkout explicitly states otherwise.
If Synoptro later offers a recurring subscription, membership, or cohort-based program:
- you authorize recurring charges at the billing interval shown at checkout
- your subscription will continue until canceled
- you may cancel future renewals at any time before your next billing date
- cancellation stops future charges only and does not retroactively refund prior charges unless otherwise stated in our Refund Policy or required by law
We may change pricing for future billing periods by giving reasonable notice on the site, by email, or within the applicable program experience.
Consulting services
Consulting, advisory, facilitation, or other custom services may be governed by a separate statement of work, proposal, master services agreement, invoice, or written engagement terms.
If you engage Synoptro for consulting services, those separate commercial terms will govern the service relationship in addition to these Terms.
Unless expressly agreed in writing, purchases of digital products or enrollment in any future program do not create a consulting relationship.
Intellectual property
All content, frameworks, templates, branding, graphics, copy, product structure, documentation, and related materials made available by Synoptro are owned by or licensed to Synoptro LLC and are protected by applicable intellectual property laws.
Your purchase does not transfer ownership of our intellectual property.
Acceptable use
You agree not to:
- use this site or our products for unlawful purposes
- interfere with the operation or security of the site
- attempt to access restricted areas without authorization
- copy, scrape, reproduce, or distribute paid materials beyond the scope of your license
- misrepresent your affiliation with Synoptro
No guarantees
Synoptro provides operational guidance, templates, frameworks, and advisory resources intended to support planning and execution. We do not guarantee any specific business outcome, financial result, team performance result, adoption outcome, or organizational change result.
You are responsible for how you implement and use our materials and advice.
Disclaimer of warranties
To the fullest extent permitted by law, the website, digital products, waitlists, future programs, and services are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and availability.
We do not warrant that our products or services will meet every requirement, operate uninterrupted, or be compatible with every workflow, system, or tool.
Limitation of liability
To the fullest extent permitted by law, Synoptro LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to your use of the website, products, programs, or services.
Our total liability for any claim arising out of or relating to these Terms will not exceed the amount you paid to Synoptro for the specific product, program, or service giving rise to the claim during the twelve months preceding the event giving rise to liability.
Termination
We may suspend or terminate access to any product, subscription area, or site feature if you violate these Terms or misuse our services.
Any provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitations of liability, payment obligations, and governing law.
Changes to these Terms
We may update these Terms from time to time. Any changes become effective when posted on this page. Continued use of our website, products, or services after updated Terms are posted constitutes acceptance of those updated Terms.
Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
